TERMS AND CONDITIONS
Software Configuration, Hosting and Interface Services
Version 2.0 - February 2026
1. Definitions
In addition to the terms defined elsewhere in this document, the following words shall have the meanings set forth below:
- Updates: all updates, developments, improvements and modifications made by Provider and/or third parties to the Software.
- API (Application Programming Interface): a set of procedures designed to accomplish a specific task.
- App: software application designed to run on mobile devices, tablets, computers or other digital platforms.
- Bitcoin (or BTC): a Cryptocurrency and, in particular, a peer-to-peer electronic cash system based on cryptography.
- BTCPay Server: open source software for accepting cryptocurrency transactions, released under the MIT license, whose source code is publicly available and verifiable at github.com/btcpayserver.
- Provider: the entity operating mybpay.app, providing software and hosting services.
- Access Keys: the authentication system through which it is possible to access and use the Software to benefit from the Services.
- Private Keys: cryptographic codes that allow exclusive access to and control of Cryptocurrencies associated with a given address. Private Keys are always and solely in the User's possession and are never shared with the Provider.
- Fee: the amount the User agrees to pay to the Provider for the provision of installation, configuration, hosting and support Services.
- Cryptocurrency: a decentralized and digital currency whose implementation is based on the principles of cryptography.
- Device: computer equipment and/or hardware owned by the User.
- Installation: the initial setup service of the BTCPay Server environment and interface tools for the User.
- Website: mybpay.app and all associated subdomains.
- Software: computer programs, including BTCPay Server (open source) and the MyBPay management system.
- Software as a Service (SaaS): the specific model whereby the functionalities of Software hosted centrally on a cloud service are made available to the User as ongoing services.
- Stablecoin: cryptocurrencies whose value is pegged to fiat currencies (e.g., USDT, USDC). The availability of specific Stablecoins on the Platform depends on the legislation applicable in the User's jurisdiction of residence.
- Interface Tools: software tools that connect the User's Wallet to the MyBPay management system for generating transaction requests, monitoring transactions and reporting.
- Terms: these general terms and conditions for use of the Website, App, Software and services offered by the Provider.
- User: any natural person who has reached the age of eighteen or legal entities duly incorporated.
- Wallet: the non-custodial wallet installed by the User, of which the User is the sole holder of the seed phrase or Private Key.
- xpub: extended public key that allows only the generation of addresses and monitoring of transactions on the blockchain, without the ability to spend or move funds.
2. Preliminary Provisions and Effectiveness
2.1. Access to and use of the services provided by the Provider through the Website, APIs, App and Software are governed by these Terms and Conditions. Failure to accept these Terms will result in the inability to use any of the services offered.
2.2. Use of the Software and any other interaction therewith, including registration on the Website or App, opening an account, accessing the reserved area, qualifies the person as a User and implies full knowledge and acceptance of these Terms and the Privacy Policy.
2.3. These Terms supersede all prior commitments, agreements, promises, proposals, statements contained in correspondence or communications between the Provider and the User, whether oral or written.
2.4. The Provider reserves the right to modify or supplement these Terms at any time. The new Terms are binding as soon as they are published on the Website.
3. Nature of Services - Non-Custodial Service
3.1. The Provider is a software service provider. Through the Software accessible via the Website and/or App, the Provider offers the following services (the "Services"):
- a. Installation and configuration of BTCPay Server instances for the User;
- b. Hosting of the server infrastructure necessary for the operation of the Software;
- c. Provision of Interface Tools between the User's Wallet and the MyBPay management system;
- d. Technical support, customer care and training on the use of the Platform;
- e. Consulting services regarding cryptocurrencies.
3.2. The Provider is not a custodian, depository, financial intermediary, payment institution or cryptocurrency custody service provider. The Provider does not process payments, does not hold User funds, and has no access to Private Keys.
3.3. Cryptocurrency transactions received by the User through the Platform go directly from the payer's wallet to the User's Wallet, without any transit through wallets or accounts of the Provider. The Provider exclusively provides the software tools that facilitate this direct connection.
3.4. BTCPay Server Software is open source and its source code is publicly verifiable. The User or any third party may at any time inspect, audit and verify that the software does not contain backdoors or features that allow access to funds.
3.5. In using the Services, the User acknowledges and accepts that: (i) the Provider does not act as their representative, agent, broker, intermediary, financial advisor or fiduciary; (ii) the information provided through the Website does not constitute investment advice; (iii) the Provider does not manage User funds nor provide payment services.
3.6. The Fee paid by the User remunerates exclusively the installation, configuration, hosting and support services. The Fee does not constitute a transaction commission, volume percentage or intermediation fee.
4. Supported Cryptocurrencies
4.1. The Platform allows the User to accept transactions in Bitcoin and, where available pursuant to clause 4.2 below, in Stablecoins.
4.2. The availability of specific Stablecoins (such as USDT and USDC) depends on the legislation applicable in the User's jurisdiction of residence or registered office. The Provider reserves the right to enable or disable specific Stablecoins for certain Users in accordance with applicable regulations.
4.3. For Stablecoins, the same non-custodial arrangements as for Bitcoin apply: transactions go directly to the User's Wallet, the Provider has no access, custody or control over Stablecoins received by the User.
4.4. The User acknowledges that Stablecoins are issued by third parties (such as Tether and Circle) and that their value depends on the issuer. The Provider is not responsible for the stability, redeemability, any freezing actions by issuers, or the functioning of Stablecoins.
5. Non-Custody Declaration
5.1. The User is the sole holder of the Private Keys to their Wallet. The User is the only person who can authorize outgoing transactions from their Wallet. The Provider never, at any time, has access to the User's Private Keys.
5.2. The technical operation of the Platform is as follows: the User provides the Provider with their xpub (extended public key) which only allows generating addresses and monitoring transactions on the public blockchain. The xpub does not in any way allow spending, transferring or accessing the User's funds.
5.3. It is technically impossible for the Provider to access, move, block, seize or recover the User's Cryptocurrencies. This impossibility stems from the cryptographic architecture of cryptocurrencies: without the Private Keys, which the User does not share with the Provider, no one can move the funds.
5.4. The account created by the User is not to be considered a wallet, as it does not allow the User to host any type of currency. The Provider is not responsible for any Wallet that the User uses to store Cryptocurrencies.
6. Common Provisions for Services
6.1. Account Creation
- a. Users who are (i) natural persons of legal age according to the law of their state of residence, as well as duly incorporated legal entities; (ii) who have the capacity to enter into contracts, may create an account.
- b. It is forbidden to declare a false identity or untruthful contacts. The Provider reserves the right to request additional information and to suspend or delete accounts containing untruthful data.
6.2. Account Security
- a. The User must keep the Access Keys to the Provider's Software confidential and take all reasonable measures to secure: (i) any device associated with their account, (ii) their Private Keys, (iii) username, password and any other credentials.
- b. The User is responsible for maintaining the confidentiality of their account information and Private Keys. The User shall be solely responsible for any losses arising from failure to safeguard such information.
- c. The User undertakes to promptly inform the Provider in writing if they become aware of any unauthorized use of their account.
6.3. Account Suspension and Closure
- a. For security reasons and/or in case of violations of these Terms, the Provider reserves the right to suspend, limit or close a User's account.
- b. Suspension or closure of the account does not in any way affect the User's access to their funds, which always remain in the Wallet exclusively owned by the User. The Provider has no technical ability to withhold or block the User's funds.
- c. If the account remains inactive for at least 12 months, it will be suspended. The User may request its reactivation.
7. Specific Provisions for MyBPay Service
7.1. The Provider supplies, through the MyBPay management system and BTCPay Server used in SaaS mode, the Interface Tools that allow the User to accept Cryptocurrencies as a form of transaction for their goods and services.
7.2. MyBPay Services include:
- a) Installation and configuration of BTCPay Server instance;
- b) Connection between User's Wallet (via xpub or address) and the Platform;
- c) Access to MyBPay management system for generating transaction requests;
- d) Transaction monitoring and transaction receipt notifications;
- e) Reporting dashboard;
- f) Technical support according to subscribed plan.
7.3. Registration. To use the MyBPay service, the User must register on the web App available at mybpay.app.
7.4. Contract Conclusion. Once registration is completed, the User chooses the MyBPay plan they wish to activate. The contract is concluded when the Provider activates the requested plan.
7.5. Duration. The contract has the duration indicated in the subscribed plan. Upon expiration, it will be tacitly renewed for the same duration, unless written notice of termination is given at least 30 days before expiration.
7.6. Fee. Pricing policies are available on the Website. The Fee remunerates installation, hosting and support services and does not constitute a commission on transactions.
7.7. License. The Provider grants the User a non-exclusive, non-transferable, temporary license to use the MyBPay management system, limited to the duration of the contract. BTCPay Server is open source software released under the MIT license.
8. Specific Provisions for Consulting Services
8.1. The Provider offers consulting and training services, individual and/or group, on cryptocurrency topics.
8.2. To use the service, the User will contact the Provider through the channels indicated on the Website. The Provider will formulate an offer containing the economic conditions and service delivery terms (the "Proposal"). The contract is concluded with the acceptance of the Proposal.
9. Irreversibility of Transactions
9.1. The User acknowledges and accepts that transactions made on the Bitcoin network, Lightning Network or other blockchains are final and irreversible once confirmed.
9.2. The Provider has no ability to cancel, modify or recover transactions once executed. In case of error, the User must contact the payer directly to attempt fund recovery.
9.3. The User is solely responsible for verifying the correctness of addresses and information related to transactions.
10. Liability and Warranties
10.1. The Provider warrants that the Software and Services offer the functionalities described on the Website.
10.2. THE PROVIDER IS IN NO WAY LIABLE FOR LOSSES, THEFTS, MISPLACEMENTS, ERRORS OR DAMAGES RELATING TO THE USER'S CRYPTOCURRENCIES, AS THE PROVIDER HAS NO CUSTODY, CONTROL OR ACCESS TO SUCH FUNDS.
10.3. In particular, the Provider is not liable for: a) Loss of Private Keys by the User; b) Theft or compromise of the User's Wallet; c) Errors in addresses provided by the User or their customers; d) Transactions sent to incorrect addresses; e) Fluctuations in Cryptocurrency value; f) Problems with the Bitcoin, Lightning Network or other blockchains; g) Depegging, insolvency, freezing or other issues related to Stablecoin issuers; h) Cyber attacks on the User's Wallet or devices.
10.4. The Provider shall not be liable for any damages arising from delay or interruption of Services attributable to third-party providers.
10.5. Except in cases of willful misconduct or gross negligence, the risks arising from the use of the Services are borne exclusively by the User.
10.6. Subject to the foregoing, except in cases of willful misconduct or gross negligence, the Provider's total liability to the User shall in no event exceed the greater of: (a) the amount of Fees paid by the User in the 12 months preceding the damaging event; or (b) USD 100.00.
10.7. The Provider is in no event liable for indirect, incidental, special, consequential or punitive damages.
11. Contract Termination
11.1. The Provider may terminate the contract with immediate effect by written notice in the following cases: a) The User legal entity ceases activity or is subject to insolvency proceedings; b) Late payment of the Fee for more than 30 days; c) Violation of truthfulness obligations; d) Use of Services for illegal activities.
11.2. Termination of the contract results in deactivation of the account. The User will nevertheless maintain full control of their funds in their Wallet.
12. Exclusion of Right of Withdrawal
12.1. The User, even if qualifying as a consumer, acknowledges that the Services consist of the provision of digital content whose execution begins immediately after subscription. Therefore, the User expressly waives the right of withdrawal.
13. Intellectual Property Rights
13.1. The names "MyBPay" and related logos are the exclusive property of the Provider.
13.2. BTCPay Server is open source software released under the MIT license by the BTCPay Server open source community.
13.3. The MyBPay management system and customizations developed by the Provider are the property of the Provider.
14. Privacy and Data Protection
14.1. Personal data provided by Users will be processed in accordance with the Privacy Policy available on the Website.
14.2. The Provider does not collect or store Users' Private Keys. The only technical data collected are the xpub (public key) and data necessary for the provision of Services.
15. Complaints
15.1. If the User believes that the Services do not comply with these Terms, they may submit a complaint through the form available on the Website.
15.2. The Provider will respond to the complaint within 40 days of receipt.
16. Governing Law and Jurisdiction
16.1. These Terms and contracts entered into between the Provider and the User shall be governed by the laws of the jurisdiction where the Provider is established.
16.2. Users qualifying as consumers may use the ODR platform of the European Commission for alternative dispute resolution where applicable.
16.3. Any disputes shall be subject to the exclusive jurisdiction of the competent courts where the Provider is established, except where mandatory consumer protection laws provide otherwise.
